Introduction
Welcome to Zobo! Zobo is a consumer brand, with services delivered through regulated entities of our group. These Terms and Conditions (the "Terms") form a legal agreement between you and "Zobo Money," provided by the following companies: Torus Financial LLC (United States), a registered Money Services Business (MSB) with FinCEN. Services in the U.S. are supported by Astra Finance. TM Payments Limited (Canada), a registered MSB with FINTRAC, providing services to users in the UK and EU in partnership with Clear Junction Limited. By using Zobo, you acknowledge that you have read, understood, and agree to be bound by these Terms.
In this Agreement, "you" and "your" "user" means the person, entity, business, or company who uses or accesses the Services, regardless of whether you are acting as a Sender or Recipient. "Zobo," "we," "us," and "our" all refer to Zobo, including its employees, directors, partners, and assignees.
It is important to understand that Zobo is not a financial institution. Zobo does not itself ever hold your money/funds or your assets. We provide technology that enables you to access your assets, conduct financial transactions, and engage in financial services conducted through a network of banks, money transmitters, payment service providers, foreign exchange firms, and other partners who we integrate the Platform into in order to provide you with the Services. As such, Zobo is not a financial institution, including a bank, trust company, or securities broker in any region. That said, we may own subsidiaries or have affiliates who are such entities, both in the US and/or in other countries. Please note that depending on your location, the Service may be provided by a partner of Zobo or one of Zobo's affiliated companies (Affiliate).
Further note that Zobo collects and analyzes (such as for KYC and AML purposes) information provided by Users in connection with the Services. We may at times relay some or all information and data to our partners, including but not limited to banks, payment services platforms, money transmitters, exchanges, regulators, affiliates, accountants, BSA auditors, and others both in the USA and globally. These firms may use such data and information as necessary to perform and fulfill their obligations to the overall Platform, specifically, or more generally for their regulatory and/or operational duties.
The Terms are legally binding and serve to govern your use and access to our website at www.zobo-app.com and the Zobo mobile application (collectively, the "Platform") and features and services services which we offer now and/or may be offered in the future, in connection with the Platform (the "Services"), including any content or functionality offered through this Platform or the Services, whether as a guest, registered user or on the authorisation of a user.
PLEASE READ AND UNDERSTAND THESE TERMS AND OUR PRIVACY POLICY CAREFULLY BEFORE AGREEING TO BE BOUND BY THEM.
By registering, using or accessing the Services or any information, resources, services, products, and tools we provide, you represent that you have read, understood and accepted to be bound by these Terms and our Privacy Policy. You also accept and agree that you are solely responsible for understanding and complying with all laws, rules and regulations that may be applicable to your use of the Services. Please note that your use and access to the Services are subject at all times to these Terms and our Privacy Policy. If you do not agree to all the terms and conditions of these Terms and our Privacy Policy, do not use or access the Services.
Zobo enables users to, amongst other things: Send and receive cross-border transfers. Access digital wallets to store funds. Conduct foreign exchange transactions. Top up airtime or pay bills (where available).
Definitions
The definitions and rules of interpretation in this clause apply in this Terms and Conditions.
- Account any account opened with us and operated by you, through the Platform.
- Business Day any day on which banks in the US are open for business excluding Saturdays, Sundays and public holidays.
- Local Taxes any taxes chargeable in the Recipient's country.
- Money Transfer Amount the specific sum of money which you push through your Account, to be transferred to the Recipient through the Platform.
- Money Transfer an electronic transfer of a Money Transfer Amount by you to the Recipient through the Platform.
- Transaction History records of Money Transfers which are accessible through the Platform.
- Recipient the payee, located in the Recipient's Country, who receives the money through the use of the Money Transfer Service.
- Recipient's Country the country from where a Recipient receives the Money Transfer.
- Payment Instrument a mode of pushing money through the Account, to the Recipient, which may include your bank, payment or debit or credit card or other payment information accepted by our payment service providers.
- Payment Instruction an instruction containing the execution of a Money Transfer, sent to Zobo by you.
- Sender the payer, located in the Sender's Country, who sends the money through the use of the Money Transfer Service.
- Sender's Country the country from where a Sender initiates the Money Transfer.
- Services / Money Transfer Service international money transfer services and Account maintenance services provided by Zobo to you.
- Service Fee our fees for the provision of the Services as described on the Platform payable by you to Zobo.
- Service Provider technical partners, international transfer money operators, commercial banks, third party service providers who we work with to provide the Services to you.
- User you or a customer of Zobo who is a user of the Platform and has opened an Account with us and/or utilizes our Services.
Consent to Use Electronic Signatures and Communication
Consent: To the extent permitted by applicable law, you consent to use electronic signatures and to electronically receive all records, notices, statements, communications, and other items for all Services provided to you under these Terms and in connection with your relationship with us (collectively, "Communications") that we may otherwise be required to send or provide you in paper form (e.g., by mail).
You acknowledge that this Agreement shall be entered into electronically, and that the following categories of information ("Communications") may be provided by electronic means: (i) this Agreement and any amendments, modifications or supplements to it; (ii) your records of transactions through the Service; (iii) any initial, periodic or other disclosures or notices provided in connection with the Service, including without limitation those required by federal or state law; (iv) any customer service communications, including without limitation communications with respect to claims of error or unauthorized use of the Services; (v) any other communication related to the Services or Zobo.
Communications may be provided to you through the use of autodialed or prerecorded message calls or text messages at the telephone number(s) that you provide us with. We may contact you directly or we may share your phone number with service providers with whom we contract to provide such Communications. Standard telephone minute and text charges may apply.
The hardware and software requirements for access to and retention of the Communications associated with the Service include a personal computer or other device which is capable of accessing the Internet; an Internet web browser; and a printer or other device capable of printing and/or retaining agreements and documents.
By accepting and agreeing to these Terms electronically, you represent that: (i) you have read and understand this consent to use electronic signatures and to receive Communications electronically; and (ii) your consent will remain in effect until you withdraw your consent as specified below.
Your Right to Withdraw Your Consent: Your consent to receive Communications electronically will remain in effect until you withdraw it. You may withdraw your consent to receive further Communications electronically at any time by contacting us at [email protected]. If you withdraw your consent, we will close your Zobo Account and you will no longer be able to use your Zobo Account or the Services, except as expressly provided in these Terms.
You Must Keep Your Contact Information Current With Us: In order to ensure that we are able to provide Communications to you electronically, you must notify us of any change in your email address and your mobile number or other text message address by updating your profile on this Platform.
Changes: We reserve the right, in our sole discretion, to discontinue the provision of electronic Communications or to terminate or change the terms and conditions on which we provide electronic Communications. Except as otherwise required by applicable law, we will notify you of any such termination or change by updating these Terms on this Platform or delivering notice of such termination or change electronically.
Eligibility
Registration: In order to use the Services, you must register with us on the Platform, or be authorized by a registered user to use the Services in a manner agreed by us.
Application Approval: Zobo reserves the right to approve or deny your application for an Account or a particular Service. Provisional, limited access may be granted while your application is pending additional review. Zobo may deny your application or interrupt provision of the Services.
Information: When you create an account with us, you must provide us with information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your Account and the Service. Zobo also reserves the right to request for further information from you pertaining to you or the creation of your Account at any time. Failure to provide such information within the time required by Zobo may result in Zobo declining to accept your request or a delay in the creation of your Account.
Age Requirement: To use Zobo's Services, you must be at least 18 years of age. By accessing or using our Services, you represent and warrant that you meet this age requirement.
Legal Capacity: By using our Services, you further represent and warrant that you have the legal capacity to enter into a binding agreement. If you are using our Services on behalf of a legal entity, you represent that you have the authority to bind such entity to this Agreement.
Residency and Location: Zobo's Services are available to individuals located within the United States of America who wish to send funds to recipients in the designated African regions ("Nigeria", "Cameroon", "Ghana", "Ivory Coast"). It is your responsibility to ensure that you are using the Services from an eligible location.
Prohibited Persons and Entities: You are not eligible to use Zobo's Services if you are a person or entity listed on any sanctions list or watchlist maintained by the United States Government or other relevant authorities. Zobo reserves the right to conduct regular checks to ensure compliance with this requirement.
Right to Refuse Service: we reserve the right to refuse or terminate our Services to any individual for any reason at any time. At our sole discretion, we may do so if we have reason to believe that you do not meet the eligibility criteria outlined in this section or if your use of our Services violates any applicable laws, regulations, or the Terms.
Identity Verification: As part of our compliance with anti-money laundering (AML) and know your customer (KYC) regulations, we may request documentation to verify your identity and the purpose of your transfers. Failure to provide accurate and complete information may result in the suspension or termination of your Account.
By using or accessing the Services, you confirm that you meet the eligibility criteria described above and agree to comply with all terms and conditions outlined in this Agreement. If you do not meet these criteria or do not agree with any part of this Agreement, please do not use our Services.
Account Creation and Access
Upon registration, you will create login credentials. You are responsible for maintaining the confidentiality of your credentials. You must notify us immediately if you suspect unauthorized access. You must not allow another person to use your account.
Paying for the Services
Charges: With each Transaction you submit you are agreeing to pay us a service fee ("Service Fee"), in addition to the Transaction Amount. Payment in US dollars is due at the time the transaction is submitted for processing. If you submit a transaction that results in us being charged NSF fees, chargeback fees, or other similar costs, you agree to reimburse Zobo for all such fees. Zobo will disclose applicable fees before each transaction. Fees may include: flat transaction fees; percentage-based fees; and/or foreign exchange margins.
Payment: In order for us to process your transaction, you authorize us to charge any of the payment instruments included in your payment profile ("Payment Instrument" includes any debit or credit card, bank account or other payment information accepted by our payment service providers). Each User warrants to provide complete and accurate payment information. If your payment fails, you authorize us to re-try one or more times using the same Payment Instrument. You warrant that you are an authorized and lawful user of the Payment Instrument.
Other Charges: We are not responsible for fees that may be imposed by financial institutions associated with your Payment Instruments. For example, debit card issuers may impose additional fees for the transaction: We are not responsible for any NSF fees, chargeback fees, or other, similar charges that might be imposed on you by your bank, credit card issuer, or other provider.
We reserve the right to change or review fees for the Services at any time in the future. You agree that you shall pay all applicable fees, commissions, and/or charges for using the Services as and when due.
Payment and Remittance
The Services allow users to send, receive and request money from people. As a User initiating a transfer of funds, the Services may allow you to send funds to your designated recipient ("Recipient") by selecting and communicating the Recipient and the Transfer Amount to us (a "Payment Instruction").
By initiating a Money Transfer to a Recipient via the Services, you authorise us and the applicable bank or partner financial institutions to debit the amount you specify and applicable charges from your Account on this Platform, bank account or other payment instrument registered with us, and to send those funds to the designated Recipient upon your request. You agree that you shall be exclusively responsible for providing accurate information on bank account details of the Recipient that you want to receive funds.
Payments to Zobo shall be made through any of the stipulated payment gateways provided on the Platform. Zobo shall use the payment methods you provide, and payments shall be processed in the applicable currency. In order to manage operational risk, to ensure the security of your funds, we may apply limits on transactions (e.g. settlement, frequency or amount of cash withdrawals etc.). The applicable transaction limits are published on the Platform or in any way chosen by us.
By providing a Payment Instrument, you expressly agree that we are authorized to charge the relevant fees for your use of the Service, together with any applicable taxes.
Zobo utilises a third-party payment processor to link your payment card to the Platform. Payment processing and other services related to your use of the platform are subject to the privacy policies, terms, and conditions of the payment processor and your debit or credit card issuer, in addition to these Terms.
Zobo strives to ensure the payment services are always available, but cannot guarantee uninterrupted access or guarantee the absence of errors or viruses. Zobo shall not be responsible for errors or liabilities resulting from errors made by the payment processor or third parties.
Zobo reserves the right to review transactions and request for further details on a transaction. In the event of a review, the funds relevant to the reviewed transaction shall be retained by Zobo until the review is completed. Where a reviewed transaction fails to meet the requirements for approval, the funds shall be returned to the Sender, net of applicable refund fees.
If you disagree with any payment transaction, you can submit such a complaint to [email protected] within 30 (thirty) days of the payment transaction ("Dispute Period").
Payments processed by Zobo shall not include any applicable additional fees including currency conversion costs which shall be borne by the User.
By initiating a Money Transfer to a Recipient via the Services, you authorise us and the applicable bank or partner financial institutions to debit the amount you specify and applicable charges from your Account on this Platform, bank account or other payment instrument registered with us, and to send those funds to the designated Recipient upon your request. You agree that you shall be exclusively responsible for providing accurate information on bank account details of the Recipient that you want to receive funds.
Service Providers: we work with local banks and other third-party outlets (each, a "Service Provider") to make funds available to Recipients. As a Sender, you are appointing your Recipient as your agent for the purpose of receiving funds transmitted through the Service. We try to provide current information on our Platform about the location, availability, and hours of our Service Providers. However, we are not responsible for any inaccurate or incomplete information that may be posted on the Platform.
Payments, Money Transfers, KYC verifications and other transactions in connection with the Services may be offered in partnership with our respective partners and Affiliates.
Tell us AT ONCE if you believe that an electronic fund transfer has been made without your permission using your login information or by other means, or if your Zobo-activated mobile phone has been lost, stolen, or deactivated. You could lose all the money in your Account. To protect yourself from unauthorized activity in your Zobo Account, you should regularly log into your Account and review your transaction activity. You should review these transactions to ensure that each transaction was authorized and accurately completed. If you believe your Zobo login information has been lost or stolen, please contact our customer service at [email protected]. Please note that the following are NOT considered as unauthorized transactions:
- if you give someone access to your Account (e.g. by giving them your login information) and they use your Account without your knowledge or permission;
- if you, or someone else with whom you are acting in concert, act with fraudulent intent; or
- you reverse engineer or charge back a transaction made with your debit or credit card.
Exchange rates may vary intraday and include a margin.
Important Service Restrictions
General: We may refuse any transaction or limit account balances, transfer volumes and values, including the amount to be transferred, either on a per transaction or aggregated basis. Limits may vary by User profile, jurisdiction and regulatory requirements. We reserve the right at any time to modify or discontinue all or any part of the Services.
Delays: Your transaction may be delayed by our effort to verify your identity and validate your Payment Instruments and otherwise comply with laws and regulations or manage our financial risk. You may be entitled to a refund in certain circumstances and you may cancel your transaction at any time while it is pending.
Commercial Transactions: You should not use the Services to send money except to Recipients that you know. You accept that using the Services to pay for goods and services is at your own and sole risk.
Unauthorized Transactions: You may not use the Services in violation of this Agreement, the Terms of Service and Privacy Policy of our partners or applicable laws, rules or regulations. It is a violation of these Terms to use the Services for any activity that violates, or assists in the violation of any law, statute, regulation or sanction, such as: sexually-oriented materials or services, gambling activities, fraud, money-laundering, the funding of terrorist organizations, or the purchase or sale of tobacco, tobacco related paraphernalia, firearms, prescription drugs, or other controlled substances; or to send money to a Recipient that is in violation of the above. No Changes: We generally do not let you change the details of your transaction once it has been submitted to us for processing. It is your responsibility to make sure your transaction details are accurate.
Restricted Activities: In connection with your use of our Platform or the Services, or in the course of your interactions with Zobo or our partners, a User or a third party, you will not:
- Breach this Agreement, or any other agreement between you and Zobo or its partners
- Provide false, inaccurate, or misleading information;
- Refuse to cooperate in an investigation or provide confirmation of your identity;
- Use an anonymizing proxy;
- Provide yourself a cash advance from your credit card (or help others to do so);
- Use any automatic device, or manual process to monitor or copy our Platform.
Prohibited Activities
You shall not use the Platform for any purpose that is prohibited by these Terms. You are responsible for all of your activity in connection with the Services. Violation of our rules may result in the termination and cancellation of your Account. You acknowledge and agree that we may terminate an Account at any time for any reason (including, but not limited to, our independent assessment or the receipt of claims or allegations from third parties or authorities).
You are solely responsible for compliance with any and all laws, rules, regulations, and tax obligations that may apply to your use of the Services.
In connection with your use of the Platform, you will not and will not assist or enable others to:
- breach or circumvent any applicable laws or regulations, agreements with third-parties, third-party rights, or our Terms;
- use the Platform or any content therein for any commercial or other purposes that are not expressly permitted by these Terms or in a manner that falsely implies endorsement, partnership or otherwise misleads others as to your affiliation with Zobo;
- copy, store or otherwise access or use any information, including personally identifiable information about any other User, contained on the Platform in any way that is inconsistent with Zobo's Privacy Policy or these Terms or that otherwise violates the privacy rights of Users or third parties;
- use, display, mirror or frame the Platform, or any individual element within the Platform, Zobo's name, any trademark, logo or other proprietary information belonging to Zobo, or the layout and design of any page or form contained on a page in the Platform, without Zobo's express written consent or dilute, tarnish or otherwise harm Zobo's brand in any way;
- use any robots, spider, crawler, scraper or other automated means or processes to access, collect data or other content from or otherwise interact with the Platform for any purpose;
- avoid, bypass, remove, deactivate, impair, descramble, or otherwise attempt to circumvent any technological measure implemented by Zobo or any of Zobo's providers or any other third party to protect the Platform;
- attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Platform;
- take any action that damages or adversely affects, or could damage or adversely affect the performance or proper functioning of the Platform;
You acknowledge that Zobo has no obligation to monitor the access to or use of the Platform but has the right to do so, to (i) operate, secure and improve the Platform (including without limitation for fraud prevention, risk assessment, investigation and customer support purposes); (ii) ensure Users' compliance with these Terms; (iii) comply with applicable law or the order or requirement of a court, law enforcement or other administrative agency or governmental body or as otherwise set forth in these Terms.

Users agree to cooperate with and assist Zobo in good faith, and to provide Zobo with such information and take such actions as may be reasonably requested by Zobo with respect to any investigation undertaken by Zobo or a representative of Zobo regarding the use or abuse of the Platform.
Error Resolution, Cancellations and Refunds
Error Resolution: Please let us know at any time if you have any problems with the Services or the Platform. You can contact us using the contact information at the bottom of this Agreement. For more information about what is considered an "error" or the error resolution process, please contact us at [email protected].
Refunds: You may attempt to cancel your Money Transfer at any time prior to its completion (completion means that the Recipient claimed the money you sent) Upon receipt of a cancellation request, we may confirm with our Service Providers to determine whether the Money Transfer has been completed prior to initiating a refund. If the request for a refund is approved, the refund will be credited to the same Payment Instrument used to pay for the Money Transfer.
Complaints: We encourage you to share with us any concerns or questions you may have about our Service, including your Account or a specific Money Transfer, complaints can be submitted to [email protected] and we will respond within 15 business days. If unresolved, you may also want to contact or escalate to the appropriate authority in your jurisdiction.
Cancellation: We do not accept cancellations of completed Money Transfers. However, we are committed to ensuring a positive experience for our customers. If you encounter any issues with a Money Transfer, please contact us at [email protected] for reporting and resolving such issues. We encourage our customers to promptly report any concerns or discrepancies in accordance with these procedures to ensure a timely resolution. Our dedicated support team is always available to assist you with any transaction-related concerns and will work diligently to address your issues in accordance with our policies.
Intellectual Property
You acknowledge that the Services, including the content of the Platform, text, graphics, logos, audio clips, digital downloads, data compilations, software and images, as well as all other Zobo copyrights, trademarks, logos, and product and service names are owned exclusively by Zobo (the "Zobo Intellectual Property"). You agree not to display, use, copy, or modify the Zobo Intellectual Property in any manner. you are authorized solely to view and retain a copy of the pages of this Platform for your own personal, non-commercial use. We do not grant you any licences, express or implied, to our intellectual property or the intellectual property of our licensors, except as expressly stated in these Terms. You further agree not to: (i) use any robot, spider, scraper or other automated device to access the Services; (ii) remove or alter any author, trademark or other proprietary notice or legend displayed on this Platform (or printed pages thereof); or (iii) infringe Zobo's or any third party's copyright, patent, trademark, trade secret or other intellectual property rights, or rights of publicity or privacy.

Disclaimer
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW AND EXCEPT AS OTHERWISE EXPRESSLY PROVIDED IN THESE TERMS, YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICES AND ALL INFORMATION, PRODUCTS, AND OTHER CONTENT (INCLUDING THAT OF THIRD PARTIES) INCLUDED IN OR ACCESSIBLE FROM THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR THIRD-PARTY SERVICE PROVIDERS EXPRESSLY DISCLAIM ANY AND ALL CONDITIONS, REPRESENTATIONS, AND WARRANTIES OF ANY KIND AS TO THE SERVICES AND ALL INFORMATION, PRODUCTS, AND OTHER CONTENT (INCLUDING THAT OF THIRD PARTIES) INCLUDED IN OR ACCESSIBLE FROM THE SERVICES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTY OF THIS WEBSITE'S MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, WE AND OUR THIRD-PARTY SERVICE PROVIDERS MAKE NO WARRANTY THAT (I) THE SERVICES WILL MEET YOUR REQUIREMENTS, (II) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS, OR (V) ANY ERRORS IN THE SERVICES WILL BE CORRECTED. NO ORAL OR WRITTEN INFORMATION OR ADVICE OBTAINED BY YOU FROM US OR OUR THIRD-PARTY SERVICE PROVIDERS THROUGH OR FROM THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
WE WILL MAKE REASONABLE EFFORTS TO ENSURE THAT TRANSACTIONS ARE PROCESSED IN A TIMELY MANNER, BUT WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE TIME NEEDED TO COMPLETE PROCESSING BECAUSE THE PROVISION OF THE SERVICES ARE DEPENDENT ON MANY FACTORS OUTSIDE OUR CONTROL. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THE FOREGOING DISCLAIMER MAY NOT APPLY TO YOU. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS AND YOU MAY ALSO HAVE OTHER LEGAL RIGHTS THAT VARY STATE TO STATE. IN ANY EVENT, YOU MAY HAVE A RIGHT TO A REFUND AS EXPRESSLY DESCRIBED HEREIN.
Indemnity
You agree to indemnify and hold harmless Zobo, its officers, directors, employees, agents, and affiliates from any claims, losses, liabilities, damages, costs, or expenses (including attorneys' fees) arising out of or related to your use of our Services, your violation of this Agreement, or your violation of any applicable laws or regulations.
Limitation of Liability
To the fullest extent permitted by applicable laws, you agree that Zobo, its Affiliates and their respective officers, directors, employees, agents, and third-party service providers shall not, under any circumstances, be liable to you or any third party for (i) the performance of the Services or the inability to use the Services; (ii) any event beyond our reasonable control; and (iii) any indirect, consequential, special, incidental, exemplary or punitive damages, whether based in contract, tort or otherwise, or any damages for loss of profits, revenue, data, use, goodwill or other intangible losses (even if such users or persons have been advised of the possibility of such damages) arising out of or related to the use of our Services. This includes, but is not limited to, damages resulting from: Delays, interruptions, or errors in the transmission of funds. Inability to complete a Payment Instruction because of inaccurate or insufficient payment instructions. Failure of a Recipient or bank to claim the payment. Unauthorized access to or use of your Account. Inaccuracies or discrepancies in exchange rates. Any actions taken by Zobo in accordance with legal or regulatory requirements.
To the fullest extent permitted by applicable laws, our liability to you for actions or inactions directly traceable to us, whether in contract, negligence, and other tort, or by way of indemnity or otherwise arising out of or in connection with this Agreement shall be subject to the following financial limits: (i) In no event shall Zobo be liable to you in excess of any amount that has accrued to us from transactions emanating by virtue of the Services in the month immediately preceding the date the first such claim arises; and (ii) no liability shall be raised against us more than 1 (one) year after the accrual of the cause of such liability.
No Liability for Third-Party Actions: Zobo is not responsible for the acts, omissions, or conduct of any third parties, including banks, financial institutions, or other intermediaries involved in the transfer process. We do not guarantee the performance or quality of services provided by such third parties.
Breach
In the event of a breach of these Terms, or a reasonable suspicion that you have breached these Terms in any way, Zobo may: temporarily suspend your access to our Services; permanently prohibit you from accessing our Services; block computers using your IP address from accessing our Services; contact any or all of your internet service providers and request that they block your access to our Services; suspend or delete your Account; and/or commence legal action against you, whether for breach of contract or otherwise.
Termination, Restriction or Suspension of the Services or your Account
We reserve the right to terminate, suspend and/or restrict your Account or your use our Services where:
- We reasonably believe that any transactions or activities on your Account are suspicious or fraudulent;
- We suspect that you are using your account for terrorist financing or any activity inconsistent with applicable laws.
- You are creating problems or possible legal liabilities for us, other users, or other third parties;
- We reasonably believe that such restrictions will improve the security of Zobo or reduce our or another user's exposure to financial liabilities;
- We reasonably believe that you are infringing the rights of third parties;
- We reasonably believe that you are acting inconsistently with these Terms or our policies or abuse users and other third parties;
- Despite our reasonable endeavours, we are unable to verify or authenticate any information you provide to us;
- You fail to make, or it is evident that you are unable to make, full payment of any fees due for our Services by your payment due date; or
- We deem it fit for any reason and at any time, in our interest and that of other third parties.
Where we suspend, prohibit or block your access to our Services you must not take any action to circumvent such suspension or prohibition or blocking (including without limitation creating and/or using a different account).
To the extent permitted by applicable law, we may terminate (or suspend access to) your use of our Services for any reason.
Deletion of Account
You may request the deletion of your Account with us. You can do so by contacting us at [email protected]. Upon receipt, we will process your request. This should generally take two (2) business days. Once your account is deleted, all your information pertaining to your identification, your transactions, etc will also be deleted to the extent permissible by applicable laws and regulations. Upon the completion of your request, we will not be able to supply any of your information, including but not limited to, information regarding your KYC, transactions initiated by you, transaction receipts, etc. even upon your request. Hence, please ensure that you have obtained necessary backup of all such information before you place a request for deletion of your Account.
Irrespective of your request, in order to adhere with applicable laws and regulations regarding record keeping, we will continue to maintain all information pertaining to your Account in our archive; utilization of which shall be governed by our Privacy Policy. Additionally, in order to avoid any issues in the transactions you have created on the Platform, your Account will be transferred to archive after 180 days from the date of the last transaction initiated by you if the payment method for the last transaction initiated by you was an ACH and 90 days if the payment method for the last transaction was a debit card.
Despite your Account being deleted, we may contact you for redressal and/or recovery in case we encounter any issue with any transaction created by you on the Platform.
The deletion of your Account will not affect any of our rights or your obligations arising under these Terms prior to termination. Provisions of these Terms that, by their nature, should survive termination of these Terms will survive termination of these Terms.
Governing Law
These Terms shall be governed and construed according:
- United States: Governed by Delaware law with disputes resolved by binding arbitration under the Federal Arbitration Act.
- United Kingdom & EU: Governed by the laws of England and Wales.
Dispute Resolution
We shall make an effort to settle all disputes amicably. Any controversy, claim or dispute arising out of or relating to this Agreement or the breach thereof shall be referred to and finally resolved by binding arbitration accordingly:
- United States: under the Federal Arbitration Act.
- United Kingdom & EU: under the rules of the London Court of International Arbitration (LCIA), which rules are deemed to be incorporated by reference into this clause. You may also escalate complaints to the Financial Ombudsman Service or EU authority.
The number of arbitrators shall be one, and the Arbitrator shall have experience in the area of dispute. The proceedings shall be in the English Language. The decision of the Arbitrator shall be final. The Parties hereby waive their right to any form of recourse against an award to any court or other competent authority, insofar as such waiver can validly be made under the applicable law.
Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy, constitutes the entire agreement between you and Zobo and governs your use of the Service, superseding any prior understandings, arrangements or agreements, whether written or oral, regarding the Services. However, when you accept the Terms of Service and Privacy Policy of our FI partners after sign-up, the provisions of that Terms of Service and Privacy Policy shall supersede this Agreement in case of any conflict in relation to the services provided to Zobo by such partner.
- No Waiver: The failure of you or Zobo to exercise or enforce any right or provision of the Agreement shall not constitute a waiver of such right or provision. Specifically, you agree that if we do not exercise or enforce any legal right or remedy which is contained in these Terms, this will not be taken to be a formal waiver of our rights and that those rights or remedies will still be available to us..
- Force Majeure: We shall not be liable for any failure or delay in the performance of the Services to the extent such failure or delay is caused by matters beyond our reasonable control, including, without limitation: an act of God; epidemic; pandemic; changes in applicable laws; closure or unavailability of required physical and network infrastructure; sovereign default; power or internet failure; civil unrest; war; and earthquake, fire, flood, or other natural disasters.
- Assignment: You may not transfer, assign, or delegate these Terms or your rights or obligations hereunder or your Account in any way (by operation of law or otherwise) without our prior written consent. To the extent permitted by applicable law, we may transfer, assign, or delegate these Terms and our rights and obligations hereunder without your consent.
- Modification: We reserve the right to modify, amend, revise, update this Agreement at any time, in our sole discretion, without providing notice to you, subject to applicable law. You can review the most current version of the Agreement at any time by reviewing this Platform. You may terminate your use of the Service if you do not agree with any modification or amendment. If you use the Service after the effective date of an amendment or modification, you shall be deemed to have accepted that amendment or modification. You agree that you shall not modify this Agreement and acknowledge that any attempts by you to modify this Agreement shall be void.
- Severability: In the event that any provision of these Terms is determined to be unlawful, void or unenforceable, such provision shall be deemed to be severed from these Terms but shall not affect the validity and enforceability of the other remaining provisions.
- Other Terms: This Agreement may be supplemented by terms applicable to other promotions, our Referral Program, and other terms applicable to you based upon your use of the Service. These terms are incorporated into this Agreement by reference. To the extent that any of these terms are determined to be in conflict with this Agreement, this Agreement shall prevail.

Your security is very important to Zobo , and we use a variety of security measures to make sure that your information is secure. We urge you to think carefully before sending money to anyone that you do not know. In particular, you should be cautious of deals or offers that seem too good to be true.
